TroutSpotr CLA
Thank you for your interest in TroutSpotr! This agreement helps us achieve our goal of collaborative open source software development. In order to clarify the intellectual property license granted with Contributions from any person or entity, TroutSpotr must have a Contributor License Agreement ("CLA") on file that has been signed by each Contributor, agreeing to the license terms below.
This license is for your protection as a Contributor as well as the protection of TroutSpotr. Contributors retain full rights to use their original Contributions for any other purpose outside of TroutSpotr while also providing TroutSpotr the right to distribute and build upon their work.
This license is intended to be compatible with other open source licenses, specifically with version three of the GPL in order to remain true to the original goals of TroutSpotr of supportive collaboration.
Definitions:
The following terms are used throughout this agreement:
“Contributor” means the person or legal entity, including its affiliates, who Submits a Contribution to TroutSpotr. An affiliate is any entity that controls or is controlled by the legal entity.
"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally Submitted to TroutSpotr for inclusion in any of the products or projects owned or managed by TroutSpotr.
“Effective Date” means the date Contributor executes this Agreement.
“Submit” means any form of electronic, written, or verbal communication used to convey a Contribution to TroutSpotr or its representatives.
1. Grant of Copyright License
Subject to the terms and conditions of this Agreement, Contributor grants to TroutSpotr and its users a perpetual, worldwide, non-exclusive, transferable, royalty-free, irrevocable copyright license with the right to sublicense, reproduce, modify, display, perform and distribute the Contribution and such derivative works. Contributor retains ownership of the Copyright in the Contribution and has the same rights to use or license the Contribution that they would have had without entering into this Agreement.
2. Grant of Patent License
Subject to the terms of this Agreement, Contributor grants to TroutSpotr a perpetual, worldwide, non-exclusive, transferable, royalty- free, irrevocable patent license, with the right to sublicense, make, have made, use, sell, offer for sale, import and otherwise transfer the Contribution. Such license applies only to those patent claims licensable by Contributor that are necessarily infringed by your Contribution or by combination of your Contribution with the project to which this Contribution was Submitted.
3. Source of Contribution
Contributor affirms that:
(a) The Contribution is either your original creation, based upon previous work that, to the best of your knowledge, is covered under an appropriate open source license and you have the right under that license to Submit that work with modifications, whether created in whole or in part by you, or you have clearly identified the source of the Contribution and any license or other restriction (like related patents, trademarks, and license agreements) of which you are personally aware.
(b) Contributor has the legal authority to enter into this Agreement.
(c) The grant of rights above does not violate any grant of rights that the Contributor has made to third parties, including an employer. If the Contributor is less than eighteen years old, please have your parents or guardian sign this Agreement.
